GreenSpruce Internet Services LLC Terms of Service

Important: By subscribing to or using GreenSpruce Internet services, you agree to be bound by these Terms of Service. Please read them carefully.

1. Agreement Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and GreenSpruce Internet Services LLC ("GreenSpruce," "we," "us," or "our") governing your use of our internet services, including but not limited to our BlueSpruce Basic, Kentucky Speed, and GreenSpruce Ultimate service packages, and any related equipment, software, or services (collectively, the "Services").

By activating, subscribing to, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

2. Service Description & Availability

2.1 Service Packages

GreenSpruce offers various internet service packages with different speed tiers and features as described on our Pricing page. Speeds advertised are maximum theoretical speeds and actual speeds may vary based on network conditions, equipment, and other factors.

2.2 Service Availability

Our Services are available in designated service areas within Kentucky. Service availability is subject to technical feasibility and may require professional installation. We do not guarantee service availability at all locations.

2.3 Network Management

To ensure fair access and optimal performance for all customers, we may employ reasonable network management practices. These may include temporarily limiting bandwidth for activities that consume excessive network resources.

3. Customer Responsibilities

3.1 Account Information

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account or any other security breach.

3.2 Acceptable Use

You agree to use our Services in compliance with all applicable laws and regulations. Prohibited activities include but are not limited to:

  • Transmitting illegal, harmful, or offensive content
  • Engaging in hacking, spamming, or denial-of-service attacks
  • Violating intellectual property rights
  • Reselling our Services without authorization
  • Interfering with network operations or other customers' use

3.3 Equipment

You are responsible for any equipment on your premises, except for equipment we own and provide. You must allow our authorized personnel access to your premises for installation, maintenance, or repair during reasonable hours.

4. Billing & Payment

4.1 Fees and Charges

You agree to pay all fees and charges for Services as described in your service agreement. Current pricing for our service packages is available on our Pricing page. We reserve the right to change prices with 30 days' notice.

4.2 Billing Cycle

Services are billed monthly in advance. Payment is due on the date specified on your invoice. Late payments may be subject to late fees and service interruption.

4.3 Taxes and Fees

All charges are exclusive of applicable taxes, fees, and surcharges, which will be added to your bill as required by law.

4.4 Service Interruption for Non-Payment

We may suspend or terminate Services for non-payment of fees. Reconnection after suspension may require payment of all past due amounts plus a reconnection fee.

5. Service Level Agreement & Limitations

5.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free service. Scheduled maintenance may result in temporary service interruptions, typically with advance notice.

5.2 Speed and Performance

Advertised speeds are maximum theoretical speeds. Actual speeds may vary due to factors beyond our control, including but not limited to network congestion, equipment limitations, and environmental factors.

5.3 Data Usage

Some service packages may have data usage limits as specified in your service agreement. Exceeding these limits may result in additional charges or reduced speeds.

5.4 Limitation of Liability

To the maximum extent permitted by law, GreenSpruce's liability for any claim arising from or related to the Services shall not exceed the amount you paid for Services during the six months preceding the claim.

6. Term & Termination

6.1 Service Term

Service is provided on a month-to-month basis unless otherwise specified in your service agreement. Some promotions may require a minimum term commitment.

6.2 Termination by Customer

You may terminate Services by providing written notice at least 30 days before your next billing cycle. Early termination of term commitments may result in early termination fees.

6.3 Termination by GreenSpruce

We may suspend or terminate Services immediately for violation of these Terms, non-payment, or if required by law. We may also terminate Services with 30 days' notice for any reason.

6.4 Equipment Return

Upon termination, you must return any GreenSpruce-owned equipment within 14 days. Failure to return equipment may result in charges for the replacement cost.

7. Intellectual Property

All content, trademarks, service marks, logos, and intellectual property related to our Services are owned by GreenSpruce or our licensors. You are granted a limited, non-exclusive license to use our Services for personal or business use as permitted by these Terms.

8. Privacy & Data Protection

Our collection and use of your personal information is governed by our Privacy Policy. By using our Services, you consent to such collection and use as described in the Privacy Policy.

As an Internet Service Provider operating under AS62534, we may collect network operational data necessary to provide, maintain, and secure our Services. We do not monitor the content of your internet communications except as required by law or to protect our network.

9. Dispute Resolution

9.1 Informal Resolution

9.2 Arbitration

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in Kentucky, rather than in court, except that you may assert claims in small claims court if your claims qualify.

9.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through our website, email, or other appropriate means. Your continued use of Services after such changes constitutes acceptance of the modified Terms.
